General Terms and Conditions of Purchase<\/h1>\n\n\n\n

\u00a7 1 Placement of Orders<\/h2>\n\n\t<\/div>\n\n\n\n

\n\t\t\t\n\n

1.1<\/strong> The legal relationships between HOPPE s.r.o., Chomutov (\u201cHOPPE\u201d) and the contractual partner (\u201cSeller\u201d) are governed by these Terms and Conditions of Purchase and any other written agreements. Conflicting or deviating general terms and conditions of the Seller are hereby expressly rejected. The Seller\u2019s general terms and conditions shall not apply even if HOPPE accepts the Seller\u2019s delivery without reservation or makes payment without objection, regardless of HOPPE\u2019s knowledge of any conflict with or deviation from HOPPE\u2019s Terms and Conditions of Purchase. These Terms and Conditions of Purchase shall also apply to all future transactions between HOPPE and the Seller.<\/p>\n\n\n\n

1.2<\/strong> Supply contracts (order and acceptance) and delivery call-offs, as well as their amendments and additions, must be in writing. Oral collateral agreements made at the time of contract conclusion are only valid if confirmed by HOPPE in writing. This also applies to amendments after contract conclusion. If the Seller does not accept the order within five working days of receipt, HOPPE is entitled to withdraw. Delivery call-offs become binding at the latest if the Seller does not object within five working days of receipt.<\/p>\n\n\n\n

1.3<\/strong> HOPPE may request reasonable changes to the delivery item in design and specification. The effects, in particular any additional or reduced costs and delivery dates, shall be regulated in an appropriate manner and by mutual agreement.<\/p>\n\n\t<\/div>\n\n\n\n

\u00a7 2 Prices, Freight, Packaging<\/h2>\n\n\t<\/div>\n\n\n\n

\n\t\t\t\n\n

2.1<\/strong> HOPPE\u2019s order prices are considered fixed prices for the order quantity. Price adjustment clauses must be expressly approved by HOPPE in writing in advance.<\/p>\n\n\n\n

2.2<\/strong> Unless otherwise expressly agreed in writing, the price is deemed to be free to the receiving point.<\/p>\n\n\n\n

2.3<\/strong> Packaging will only be paid for if expressly agreed in writing. The return of packaging also requires a written agreement.<\/p>\n\n\n\n

2.4<\/strong> HOPPE is entitled to offsetting and retention rights to the statutory extent.<\/p>\n\n\t<\/div>\n\n\n\n

\u00a7 3 Delivery Dates and Withdrawal<\/h2>\n\n\t<\/div>\n\n\n\n

\n\t\t\t\n\n

3.1<\/strong> The delivery dates and lead times stated in the order are binding. The day of delivery is the day on which the goods are received by HOPPE.<\/p>\n\n\n\n

3.2<\/strong> If agreed delivery dates or lead times are not met, statutory provisions apply. The unconditional acceptance of a late delivery or service does not constitute a waiver of any claims to which HOPPE is entitled on account of the late delivery or service.<\/p>\n\n\n\n

3.3<\/strong> If the Seller foresees difficulties preventing timely or quality-compliant delivery, they must inform HOPPE immediately in writing stating the reasons. If accelerated transport is necessary to meet delivery dates, the Seller bears the additional cost. HOPPE may also demand a contractual penalty of 0.5% per week of delay, up to a maximum of 5% of the total order value. The contractual penalty shall be set off against any claims for damages arising from the failure to meet the delivery date.<\/p>\n\n\n\n

3.4<\/strong> Partial or early deliveries require HOPPE\u2019s prior written consent.<\/p>\n\n\n\n

3.5<\/strong> Force majeure, labor disputes, unavoidable operational disruptions, unrest and other unavoidable events shall entitle HOPPE - without prejudice to other rights - to withdraw from the contract in whole or in part or demand performance at a later date if such events significantly reduce HOPPE\u2019s requirements and are not merely temporary.<\/p>\n\n\t<\/div>\n\n\n\n

\u00a7 4 Shipping, Passage of Risk, Invoicing<\/h2>\n\n\t<\/div>\n\n\n\n

\n\t\t\t\n\n

4.1<\/strong> The Seller is solely responsible for complying with shipping instructions. HOPPE may refuse acceptance if, on the day of receipt, proper shipping documents are missing or if HOPPE\u2019s order reference numbers are not listed or are incomplete in the shipping documents, without this leading to HOPPE being in default of acceptance. The costs of refusing to accept delivery shall be borne by the Seller.<\/p>\n\n\n\n

4.2<\/strong> Invoices must be sent to HOPPE in duplicate when the goods are shipped, but separately from the goods. The order number, Seller number and item number must be clearly stated on each invoice and on all shipping documents. If this information is missing in whole or in part, HOPPE cannot guarantee compliance with the agreed terms of payment. HOPPE retains the right to deduct cash discounts and shall not be in default of payment.<\/p>\n\n\t<\/div>\n\n\n\n

Unless otherwise agreed, HOPPE shall pay within 14 days with a 3% discount or within 60 days net, starting from the due date and receipt of both invoice and goods. Payment does not affect HOPPE\u2019s rights regarding defects or Seller\u2019s warranty obligations.<\/p>\n\n\t<\/div>\n\n\n\n

\u00a7 6 Defects Inspection and Liability<\/h2>\n\n\t<\/div>\n\n\n\n

\n\t\t\t\n\n

6.1<\/strong> Obvious defects, transport damage, and identity or quantity deviations must be reported by HOPPE within 14 days of receipt. All other defects must be reported within 14 days of discovery.<\/p>\n\n\n\n

6.2<\/strong> HOPPE shall be entitled to all statutory defect claims. In any event, HOPPE may demand repair or replacement at its discretion. The right to claim damages, in particular the right to claim damages in lieu of performance, remains unaffected.<\/p>\n\n\n\n

6.3<\/strong> If there is imminent danger or special urgency, HOPPE may remedy defects itself at the Seller\u2019s expense.<\/p>\n\n\t<\/div>\n\n\n\n

\u00a7 7 Retention of Title, Provision of Materials, Tools, Confidentiality<\/h2>\n\n\t<\/div>\n\n\n\n

\n\t\t\t\t<\/div>\n\n\n\n
\n\t\t\t\n\n

7.1<\/strong> If HOPPE provides parts to the Seller for processing, HOPPE retains ownership. Processing is carried out exclusively for HOPPE. If combined with items not belonging to HOPPE, HOPPE acquires proportional joint ownership.<\/p>\n\n\n\n

7.2<\/strong> If goods provided by HOPPE are inseparably combined with other items not belonging to HOPPE, HOPPE acquires proportional joint ownership, based on the value of the goods subject to retention of title in relation to the other items combined at the time of combination. If the combination is such that the seller\u2019s item is to be regarded as the principal item, the foregoing shall apply accordingly.<\/p>\n\n\n\n

7.3<\/strong> HOPPE retains ownership of images, drawings, calculations, models, tools, and similar information and means. The Seller shall be obliged to use such information and means provided by HOPPE exclusively for the manufacture of the goods ordered by HOPPE and to return them to HOPPE upon completion of the contract. The Seller further undertakes to insure the tools, moulds, etc. belonging to HOPPE at replacement value against fire, water and theft at its own expense and to carry out any necessary maintenance and inspection work immediately at its own expense should the need arise. Damage must be reported immediately; should the Seller fail to do so through their own fault, claims for damages shall remain unaffected.<\/p>\n\n\n\n

7.4<\/strong> The Seller shall be obliged to keep all images, drawings, calculations, models, tools, as well as any other documents and information received, strictly confidential. They may only be disclosed to third parties with HOPPE\u2019s prior express written consent. The obligation of confidentiality shall remain in force even after the conclusion of this contract; it shall cease to apply if and to the extent that the manufacturing knowledge contained in the images, drawings, calculations and other documents provided has become generally known without any breach of this contract.<\/p>\n\n\t<\/div>\n\n\n\n

\u00a7 8 Intellectual Property Rights<\/h2>\n\n\t<\/div>\n\n\n\n

\n\t\t\t\n\n

8.1<\/strong> The Seller warrants that no third-party rights are violated in connection with their performance.<\/p>\n\n\n\n

8.2<\/strong> If HOPPE is claimed against by a third party, the Seller shall indemnify HOPPE upon first written request; HOPPE is not authorised to enter into any agreements with the third party \u2013 without the Seller\u2019s consent \u2013 and, in particular, to reach a settlement.<\/p>\n\n\n\n

8.3<\/strong> The Seller\u2019s indemnification covers all costs and expenses arising from third-party claims.<\/p>\n\n\t<\/div>\n\n\n\n

\u00a7 9 Product Liability<\/h2>\n\n\t<\/div>\n\n\n\n

\n\t\t\t\n\n

9.1<\/strong> If HOPPE is held liable due to product liability or if the free use of the goods or services supplied by the seller is restricted or prevented by authorities, the Seller shall indemnify HOPPE upon first written request, provided that and to the extent that the damage was caused by a defect in the goods supplied by the Seller. In cases of fault-based liability, this shall only apply if the Seller is at fault. Insofar as the cause of the damage lies within the Seller\u2019s area of responsibility, the Seller shall bear the burden of proof in this respect.<\/p>\n\n\n\n

9.2<\/strong> As part of their liability for claims for damages within the meaning of paragraph (1), the Seller shall also be obliged to reimburse any expenses arising from or in connection with a product recall carried out by HOPPE or official orders. HOPPE shall inform the Seller \u2013 as far as possible and reasonable \u2013 of the content and scope of the recall measures to be carried out and shall give the Seller the opportunity to comment. Other statutory claims remain unaffected.<\/p>\n\n\t<\/div>\n\n\n\n

\u00a7 10 Place of Jurisdiction and Performance<\/h2>\n\n\t<\/div>\n\n\n\n

\n\t\t\t\n\n

10.1<\/strong> The exclusive place of jurisdiction for all legal disputes arising directly or indirectly from contractual relationships governed by these Terms and Conditions of Purchase shall be the registered office of HOPPE. However, HOPPE shall also be entitled to bring legal proceedings against the Seller at the registered office of the Seller\u2019s company or branch.<\/p>\n\n\n\n

10.2<\/strong> Unless otherwise stated, HOPPE\u2019s registered office is the place of performance.<\/p>\n\n\n\n

10.3<\/strong> The legal relationships are governed exclusively by German law, to the exclusion of conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG).<\/p>\n\n\t<\/div>\n\n\n\n

HOPPE expects their suppliers to act responsibly, in compliance with the law and in a sustainable manner throughout the entire supply chain. The Seller shall observe and comply with the relevant requirements set out in the HOPPE Group\u2019s Code of Conduct for Suppliers. The current version is available at www.hoppe.com\/cz-cs\/spolecnost\/dodrzovani-predpisu-v-hoppe\/#Code-of-Conduct<\/a> and forms an integral part of these Terms and Conditions of Purchase.<\/p>\n\n\t<\/div>\n\n\n\n

Should any provision of these Terms and Conditions of Purchase be or become invalid, in whole or in part, this shall not affect the validity of the remaining provisions. The contracting parties shall be obliged to replace the invalid provision with a provision that comes as close as possible to its economic purpose.<\/p>\n\n\t<\/div>\n\n\n\n
